Purpose 
 
The F.A.C.T. Committee (“Committee”) shall assist the Board of Directors (the “Board”) in the oversight of:

(1) the integrity of the financial statements of the Company

(2) the effectiveness of the internal control over financial reporting 

(3) Rabbonis Flood, Inc. compliance with legal and regulatory requirements

(4) the performance of Rabbonis Flood, Inc. compliance function.
